1. Introduction
Welcome to Square Meters Healthcare Marketing. By engaging our services, including website design, digital marketing, healthcare marketing, and consulting, you (“Client”) agree to the following Terms and Conditions. These terms govern the responsibilities, limitations, and expectations between Square Meters Healthcare Marketing and its clients.
2. Services Provided
Square Meters Healthcare Marketing provides professional services including but not limited to:
- Website design and development
- Search Engine Optimisation (SEO)
- Paid advertising (e.g., Google Ads, Meta Ads)
- Social media strategy and content creation
- NDIS and healthcare provider marketing and consulting
3. Client Responsibilities
- Clients must provide all necessary information, logins, approvals, and assets required for timely and accurate delivery of services.
- All content, logos, and creative outputs must be signed off by the client before publication or use.
- Square Meters Healthcare Marketing and any affiliates (including healthcare consulting arms) are not responsible for content or creative errors that result from a lack of written client approval.
4. Intellectual Property
- All creative assets, designs, copywriting, and campaign materials remain the property of Square Meters Healthcare Marketing until full payment is received.
- Upon payment and formal sign-off, intellectual property rights transfer to the client unless otherwise agreed.
- Square Meters Healthcare Marketing retains the right to display completed work in portfolios or marketing materials.
5. Digital Marketing and Advertising
- Square Meters Healthcare Marketing will manage digital marketing campaigns with professionalism, transparency, and strategy.
- No guarantee is made regarding the generation of leads, sales, conversions, or client acquisition.
- Clients are responsible for funding ad budgets directly and ensuring timely approvals for campaign launches and changes.
- All data and analytics reports are based on the best available third-party platform information but may be subject to variation.
6. Website Security and Liability
Square Meters Healthcare Marketing maintains automated 10-day rolling backups for all hosted websites.
We take cybersecurity seriously, but we are not liable for:
- Loss of income due to hacking, cyberattacks, or unauthorised access
- Loss of income or data due to accidental or malicious deletion
- Data loss resulting from hosting provider failure or third-party integration errors
- If a website becomes permanently unrecoverable, Square Meters Healthcare Marketing will rebuild and deploy a replacement website within 14 business days, free of charge, provided the client can supply necessary content or materials not preserved in the latest backups.
- Clients are encouraged to keep copies of frequently updated data, especially for transactional websites.
7. Confidentiality
- Square Meters Healthcare Marketing agrees to maintain the confidentiality of all client materials, access credentials, and strategies.
- No information will be disclosed to third parties without client consent unless legally required.
8. Payment Terms
- Projects and ongoing services typically require a 50% deposit upfront, with the balance due upon delivery or agreed milestone.
- Monthly subscriptions and retainers must be paid by the agreed due date each month.
- Late payments may result in paused services, delayed deadlines, or interest charges.
9. Cancellations and Termination
- Both parties may terminate a service agreement with 14 days’ written notice.
- Termination does not exempt the client from paying for services already delivered or in production.
- All intellectual property remains the property of Square Meters Healthcare Marketing until full settlement of outstanding balances.
10. Limitation of Liability
- Square Meters Healthcare Marketing will not be held liable for:
- Business losses, loss of profits, or loss of reputation
- Delays caused by third parties, technical outages, or force majeure
- Total liability shall not exceed the total amount paid by the client within the 30-day period prior to any claim.
11. Subscription Terms
- Clients engaging on a subscription or retainer basis are required to honour the full agreed term.
- Square Meters Healthcare Marketing operates on a two-month advance preparation model, and clients are invoiced for one additional month beyond their final month to cover already-prepared work.
- For example, if a subscription ends in September, October’s invoice will still be issued for pre-prepared deliverables and services.
- Requests to pause or cancel mid-subscription will not affect billing obligations unless specifically agreed in writing.
- Clients will be notified of renewals 14 days in advance; it is their responsibility to request non-renewal in writing if desired.
12. Governing Law
- These Terms and Conditions shall be governed by and interpreted under the laws of Athens, Greece.
- Any disputes arising from this agreement will be settled in the courts of Athens.
- All clients, regardless of their country of residence, agree to participate in legal proceedings via video call or remote conference if in-person presence is not feasible.
